Platform Terms of Service

These Platform Terms of Service (the "Terms") govern your use of the political and advocacy text-messaging onboarding and delivery services (the "Service") provided by bCode LLC ("bCode", "we", "us"). By subscribing to the Service, completing onboarding, or checking the acceptance box during onboarding, you ("you", "Client") agree to these Terms on behalf of the committee or organization you represent.

1. The Service

The Service helps political committees and advocacy organizations launch compliant SMS programs. It may include registration of a 10DLC brand and campaign with The Campaign Registry (TCR) and mobile carriers, provisioning of a messaging-enabled phone number, a hosted compliant opt-in page, and related delivery and reporting. Carrier and registry approval is controlled by third parties and is not guaranteed by bCode.

3. Authorization / agency

You authorize bCode to act as your agent solely to set up and operate your program, including submitting registrations to TCR, mobile carriers, Twilio, Campaign Verify, and DNS/hosting providers on your behalf using the information you provide. This authorization ends when your subscription ends.

4. Messaging compliance

Your use of the Service is also governed by our Messaging & Acceptable-Use Policy, which is incorporated into these Terms. You agree to comply with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles and Best Practices, carrier requirements, and all applicable law, including obtaining prior express consent from every recipient and honoring opt-out requests.

5. Fees and subscription

The Service is offered on a subscription basis billed through our payment processor (Stripe). Fees are recurring until cancelled and are exclusive of taxes. Certain third-party charges are passed through and are your responsibility — for example, a Campaign Verify token (currently $95, paid to Campaign Verify) for 527 political committees. Fees already incurred are non-refundable except where required by law.

6. Suspension and termination

We may suspend or terminate the Service if you breach these Terms or the Messaging Policy, if required by a carrier, registry, or law, or to protect the messaging ecosystem. You may cancel your subscription at any time; cancellation stops future billing and ends the authorization in Section 3.

7. Data and privacy

We process the information you submit to operate the Service and to complete registrations. We do not sell your personal information. Consent records collected through your hosted opt-in page are maintained as compliance evidence.

8. Disclaimers

The Service is provided "as is." bCode does not warrant that any brand, campaign, or number will be approved by a registry or carrier, or that message delivery will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, bCode will not be liable for indirect, incidental, special, or consequential damages, and bCode's total liability arising out of the Service will not exceed the fees you paid to bCode in the three months before the event giving rise to the claim.

10. Indemnification

You will indemnify and hold bCode harmless from claims arising out of your messages, your recipient lists, your lack of consent, or your breach of these Terms or the Messaging Policy.

11. Changes to these Terms

We may update these Terms; material changes will be reflected by an updated version date. Your continued use of the Service after an update constitutes acceptance.

12. Governing law and contact

These Terms are governed by the laws of the United States and the state in which bCode LLC is organized, without regard to conflict-of-laws rules. Questions: support@bcode.io.
